Agreement to Terms

Wonderful Software LLC provides software development services, including web application development, mobile application development, and technical consulting. Specific services, deliverables, timelines, and pricing are defined in individual project agreements.

Project Agreements

Before beginning work on any project, we will establish a written agreement that includes:

• Scope of work and deliverables
• Timeline and milestones
• Payment terms and pricing
• Intellectual property rights
• Termination conditions

The specific project agreement takes precedence over these general Terms of Service in case of any conflict.

Payment Terms

Unless otherwise specified in your project agreement:

• Payment is due within 14 days of invoice date
• Late payments may incur interest charges of 1.5% per month
• Fixed-price projects typically require an upfront deposit
• Hourly work is typically billed monthly or bi-weekly
• All prices are in USD unless otherwise specified

Intellectual Property

Unless otherwise specified in your project agreement:

• You retain ownership of all content, data, and materials you provide
• Upon full payment, you receive ownership of all custom code we write for your project
• We may reuse general approaches, techniques, and non-proprietary code across projects
• We retain the right to display completed work in our portfolio unless you request otherwise
• Any pre-existing intellectual property remains the property of its respective owner

Client Responsibilities

To ensure project success, clients are responsible for:

• Providing timely feedback and approvals
• Supplying necessary content, assets, and access
• Maintaining clear communication
• Making timely payments as agreed
• Ensuring they have rights to any content they provide

Warranties and Disclaimers

We warrant that:

• Services will be performed in a professional manner
• Deliverables will substantially conform to agreed specifications
• We will fix bugs and errors discovered within 30 days of delivery at no additional cost

However, we do not warrant that:

• Software will be error-free or uninterrupted
• Software will meet all your requirements (unless explicitly agreed)
• Third-party services integrated into your software will remain available or functional

Limitation of Liability

To the maximum extent permitted by law, Wonderful Software LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities. Our total liability shall not exceed the amount paid to us for the specific services giving rise to the claim.

Termination

Either party may terminate a project agreement:

• For convenience with 14 days' written notice
• Immediately if the other party breaches a material term
• Immediately if the other party becomes insolvent

Upon termination, client shall pay for all work completed up to the termination date. Intellectual property rights transfer only for work that has been paid in full.

Confidentiality

We will treat your business information, project details, and proprietary data as confidential. We will not disclose this information to third parties without your consent, except as required by law or as necessary to provide our services.

Governing Law

These Terms shall be governed by the laws of [Your State/Country], without regard to conflict of law principles. Any disputes shall be resolved in the courts of [Your Jurisdiction].

Changes to Terms
